1. Acceptance and eligibility
Rungate is a service operated by Vector Apps, Inc. (“Vector Apps,” “we,” “us”). These Terms of Service are the agreement between you (or the organization you represent) and Vector Apps, Inc. governing your use of Rungate.
By creating an account or using Rungate, you agree to these Terms. You must be at least 18 years old and authorized to bind the organization on whose behalf you’re using Rungate. If you’re using the service for commercial purposes, your use is governed by your organization’s Terms acceptance.
2. Account + API key security
You are responsible for:
- Keeping your admin tokens and agent keys confidential.
- Rotating compromised credentials promptly using the rotate-key flows we provide.
- All activity performed under your account or API keys.
- Maintaining accurate billing and contact information.
Notify [email protected] immediately if you suspect any unauthorized access to your account.
3. Acceptable use
You agree not to use Rungate to:
- Violate any law or third-party rights.
- Generate, transmit, or store child sexual abuse material (CSAM), any content produced without lawful consent, or content intended to harass specific individuals.
- Attempt to circumvent Rungate’s governance controls, rate limits, or the agreements it enforces on your behalf.
- Scrape, reverse-engineer, or derive source code from the managed service beyond what’s permitted by the Apache 2.0 license on the public source.
- Transmit malware, launch denial-of-service attacks, or probe other tenants’ data.
- Use Rungate in ways that violate upstream providers’ terms (OpenAI, Anthropic, etc.) — your agreements with those providers apply independently.
We may suspend access without notice for violations that endanger the service or other customers.
4. Service availability
Uptime commitments vary by tier:
- Free: best-effort. No SLA.
- Pro: 99.5% monthly uptime target. No SLA credit.
- Growth: 99.9% monthly uptime target. SLA credits for impacted months.
- Enterprise: Custom SLA with per-contract credit structure.
Scheduled maintenance is announced in advance on the status page. Incidents exceeding 4 hours trigger a public post-incident review within 30 days.
5. Fees and billing
Paid tiers are billed monthly in advance. Successful steps above your tier’s quota are blocked (not billed as overage) unless you’ve enabled usage-based overflow in your account settings.
You may cancel at any time from the dashboard. Cancellation takes effect at the end of the current billing period; we do not pro-rate refunds for partial months. Annual plans can be cancelled but are non-refundable after the first 14 days.
Failure to pay may result in service suspension after a 10-day grace period. Payments are processed by Stripe; their privacy policy covers card data handling.
All prices are in US dollars. You’re responsible for any applicable taxes.
6. Intellectual property
Your data is yours. You retain all rights to content you send through Rungate, including prompts, tool inputs, model outputs, and artifacts. We process this data solely to operate the service.
Our service is ours. Rungate (the product, documentation, trademarks, and the managed cloud deployment) is our intellectual property. The server source code is licensed under Apache 2.0; the managed cloud offering and commercial support are separately owned.
Feedback and suggestions you submit to us are ours to use without restriction, without compensation.
7. Warranties and disclaimer
Free tier: Service provided “AS IS” without warranties of any kind, express or implied, including merchantability and fitness for a particular purpose.
Paid tiers: Limited warranty that the service will substantially conform to documented behavior during the subscription period. Sole remedy for breach is service credits as defined in section 4, or termination with a refund of unused prepaid fees.
We disclaim any warranty that the service will be uninterrupted or error-free. Rungate is infrastructure; the agents you run through it make their own decisions. We are not liable for outcomes your agents produce.
8. Limitation of liability
To the maximum extent permitted by law, our total cumulative liability for any claim arising out of or relating to these Terms or the service is limited to the greater of: (a) $100, or (b) the amount you paid us in the 12 months preceding the claim.
We are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost data, or business interruption — even if advised of the possibility.
These caps do not limit liability for gross negligence, willful misconduct, fraud, or any liability that cannot be limited under applicable law.
9. Termination
You may terminate your account at any time from the dashboard. We may terminate for: material breach with 30-day cure period (or immediately if incurable), insolvency, or failure to pay after grace period.
Upon termination, your data is deleted within 30 days unless law requires retention. Export tools are available from the dashboard; exports can also be requested via [email protected].
Sections 6, 7, 8, 10, and 11 survive termination.
10. Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. If you’re an EU consumer, you may have additional rights under local mandatory law that these Terms do not waive.
11. Dispute resolution
Before filing any action, contact [email protected] and allow 60 days for good-faith resolution.
Unresolved disputes are settled by binding individual arbitration under the rules of the American Arbitration Association in Delaware. You and Vector Apps, Inc. waive the right to jury trial and to participate in class actions.
New customers may opt out of this arbitration clause by emailing [email protected] within 30 days of first account creation.
12. Changes
We may update these Terms. Material changes will be announced via email to account owners at least 30 days before they take effect. Continued use after the effective date constitutes acceptance. Historical versions are available via Git history.
